Agreement Terms – 12-Month Service Renewal


Term Length:

This agreement is effective for 12 months, beginning January 1, 2026. Renewal beyond this period is subject to mutual agreement and will include a review of service scope, pricing, and terms. Either party may choose not to renew with 30 days’ written notice prior to the renewal date.


Services Covered:

Includes 24/7 managed security monitoring and incident response, threat detection across AWS and Microsoft 365 environments, email protection, identity auditing, compliance support, and infrastructure performance management. Full scope is detailed in the accompanying proposal.


Service Levels (SLA):

GNS provides continuous monitoring and incident triage, with a guaranteed 1-hour response time for all critical issues, prioritized based on severity and operational impact.


Billing & Payment Terms:

Services are billed at a fixed monthly rate as outlined in the proposal. Onsite or out-of-scope project work is billed at $250/hour. A one-time onboarding or transition fee may apply depending on implementation needs.


Termination:

This agreement may be terminated by either party with 60 days’ written notice. Early termination may be subject to applicable fees, as outlined in the proposal or agreed upon in writing.


Data Ownership:

All data collected, stored, or processed during the engagement remains the sole property of the client.


Confidentiality & Compliance:

Both parties agree to protect confidential information and follow all applicable data protection regulations and compliance standards throughout the duration of this agreement.


After-Hours Support & Emergency Requests:

Standard support hours are Monday–Friday, 7:00 AM–7:00 PM.

Support requests made outside these hours — including evenings, weekends, and holidays — are billable at $300 per hour with a one-hour minimum, unless otherwise specified in the client’s service plan.

Non-urgent requests submitted after hours will be addressed on the next business day at no additional charge.
